Henri-Louis DELSOL is Co-Managing Partner of the firm alongside Emmanuel KAEPPELIN and co-head of the “Mergers & Acquisitions – Corporate law” department.
Ranked in Band 2 by Chambers and Partners in the Corporate/M&A Mid-Market category since 2024, Henri-Louis DELSOL has also been recognized by Best Lawyers since 2020 in the categories “Private Equity Law,” “Mergers and Acquisitions Law,” and “Corporate Law” (Best Lawyers Ranking – Les Echos).
It was also singled out by the Ficade Group (Leaders League Décideurs) as one of the ‘100 who are making Law 2026’.
Admitted to the Paris and New York bars, Henri-Louis DELSOL primarily advises entrepreneurs and executives, family-owned groups, small and medium-sized enterprises (SMEs), mid-market companies, and investors on mid-market M&A and private equity transactions in France and internationally. His practice covers :
- company acquisitions and divestitures (share deals and asset deals), LBOs, build-ups, and private equity transactions;
- public offerings (initial public offerings, tender offers, mandatory tender offers, and buyout offers);
- fundraising from business angels, financial investors, and industrial investors;
- restructuring of corporate groups (mergers, partial asset contributions, and spin-offs);
- cross-border transactions, particularly transatlantic ones, acting on behalf of both French companies establishing a presence in the UNITED STATES and American and Anglo-Saxon groups making investments in EUROPE.
Henri-Louis DELSOL also advises families on governance matters (shareholder agreements, family charters, and internal stock transfers) and estate restructuring (contributions, transfers, and gifts) in coordination with the teams in the “Estate Law & Taxation” department to provide a comprehensive and integrated approach for the firm’s clients.
Henri-Louis DELSOL is a graduate of Jean MOULIN LYON III University, where he earned a master’s degree in Business Law, and of Aix-Marseille III University, where he earned a DESS-DJCE in International Business Law. He also holds an LL.M. in Business Law from Georgetown University in the United States, where he lived for three years. Henri-Louis DELSOL is active within the international networks Trans-European Law Firm Alliance (TELFA), The Parlex Group, and the International Bar Association.
He practiced for four years at the law firm BREDIN PRAT before joining DELSOL Avocats in early 2010.
He is the author of numerous articles published in leading journals on asset and liability guarantees and shareholder agreements (Actes Pratiques, Droit des Sociétés, Jurisclasseur, Option Finance), Henri-Louis DELSOL also leads seminars for in-house counsel and legal departments on the topic of “Business Sales, Acquisitions, and Restructurings.”
