The Real estate – Construction department at DELSOL Avocats supports its clients throughout the entire lifecycle of a real estate project, whether it involves residential properties, offices, warehouses, commercial business parks, or hotels.

It is involved from the project’s inception or acquisition through to restructuring, demolition, or environmental remediation, including construction, drafting and negotiating contracts with various stakeholders (developers, general contractors, companies, local authorities, etc.), rental management, and the sale of real estate assets.

The department applies its multidisciplinary technical expertise in:

• Urban planning and development,
• Financial law and structuring of real estate transactions,
• Real estate development and construction law,
• Due diligence and technical or environmental audits,
• Insurance law and builders’ liability,
• Commercial leases and rental management,
• Environmental law as it applies to real estate projects.

It has developed specific expertise in the hospitality sector, particularly in the acquisition or sale of hotel portfolios and hotel management contracts.

The department’s attorneys leverage their expertise in risk analysis, financial structuring, and contract negotiation, with a constant focus on preventing potential disputes among the various stakeholders in the real estate sector.

The department also has the capacity to act as an agent in real estate transactions.

Our firm specializes in the following areas:

• Assistance in structuring a real estate project at the time of acquiring a real estate asset and/or in identifying project-related risks,
• Drafting and negotiating contracts related to the execution or operation of a real estate project, including real estate development agreements, off-plan sales agreements, delegated project management agreements, project management agreements, construction contracts, preliminary sales agreements, commercial leases, etc.,
• Considering the future implications of regulations resulting from Grenelle 2,
• Proactive management of any disputes during the construction process, and amicable dispute resolution,
• Litigation management for construction projects, from preventive summary proceedings through to final acceptance,
• Litigation management of disputes between project owners, contractors, subcontractors, and neighbors: for example, bankruptcy filings, abandonment of construction sites, claims submissions, additional work, abnormal neighborhood disturbances, easements, etc.,
• Litigation management following final acceptance or delivery,
• Assistance to landlords or tenants in drafting and negotiating commercial leases and in lease management,
• Support for hotel operators on all matters related to operations (excluding labor law).

The department works closely with the firm’s other practice groups, notably the Mergers & Acquisitions – Corporate law, Non-Profit organizations – Social and solidarity-based entrepreneurship, Wealth law & taxation, Corporate taxation, and Public law departments.
